1. General Terms & Acceptance

1.1 Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Portland Peak SEO (“Company,” “we,” “us,” or “our”) for SEO, website building, and marketing services.

1.2 Acceptance

By purchasing our services, submitting a form, or making payment, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not purchase or use our services.

1.3 Services Covered

These Terms apply to:

• Search Engine Optimization (SEO) Services
• Website Building Packages (Starter, Professional, E-Commerce)
• Local SEO Services
• Content Marketing Services
• Social Media Management Services
• PPC Management Services
• Email Marketing Services
• Complete Marketing Bundle
• Any custom services agreed upon in writing

1.4 Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or the entity you represent.

2. Search Engine Optimization (SEO) Services

2.1 SEO Services Provided

Portland Peak SEO provides search engine optimization services which may include but are not limited to:

• SEO audits and analysis
• Keyword research and strategy
• On-page optimization
• Technical SEO improvements
• Content strategy and optimization
• Local SEO services
• Link building strategies
• SEO reporting and analytics
• SEO consulting services

The specific services to be provided will be outlined in a separate service agreement or proposal.

2.2 Client Responsibilities for SEO

Client agrees to:

• Provide timely access to website properties, analytics accounts, and other necessary platforms
• Supply accurate business information and materials as requested
• Review and approve recommendations and content in a timely manner
• Maintain ownership and administrative access to their domain and hosting accounts
• Promptly communicate any concerns or questions about the services

2.3 No Guarantee of SEO Results

We will use commercially reasonable efforts and industry best practices to improve your website’s search engine visibility, but results will vary based on numerous factors outside our control, including:

• Search engine algorithm changes
• Competitor activities
• Market conditions
• Website technical limitations
• Content quality and quantity
• Domain authority and history

2.4 Google and Search Engine Compliance

We agree to use only white-hat SEO techniques that comply with Google’s Webmaster Guidelines and other major search engines’ terms of service. We will not engage in any practices that could result in penalties or bans from search engines.

2.5 Website Access for SEO

Access Rights: Client grants us necessary access to website properties, hosting accounts, and analytics tools as required to perform SEO services.

Security: We will use reasonable care in maintaining the security of any passwords or access credentials provided by Client.

2.6 SEO Reporting

We provide regular reporting on SEO performance, typically monthly, including:

• Keyword rankings
• Traffic analytics
• Technical improvements
• Competitive analysis
• Recommendations for improvement

3. Website Building Services

3.1 Service Packages

Starter Package ($950): Includes 5 custom pages, mobile responsive design, basic SEO setup, contact form, Google Analytics, 3 months free hosting, and 30 days post-launch support.

Professional Package ($2,500): Includes 10 custom pages, advanced design, full SEO optimization, blog integration, lead generation forms, social media integration, 6 months free hosting, and 60 days post-launch support.

E-Commerce Package ($5,000+): Includes unlimited products, payment processing setup, inventory management, Oregon tax configuration, SSL certificate, 1 year free hosting, and 90 days post-launch support.

3.2 Timeline & Delivery

• Starter Package: 3-4 weeks from project commencement
• Professional Package: 2-3 weeks from project commencement
• E-Commerce Package: 4-6 weeks from project commencement

Timeline begins after receiving initial payment and all required materials from the Client.

3.3 Client Responsibilities

Client agrees to:

• Provide all necessary content, images, and materials within 7 days of project start
• Respond to design proofs and revision requests within 48 hours
• Provide timely feedback and approvals
• Grant necessary access to existing hosting, domains, and accounts

3.4 Revisions

• Starter Package: Up to 2 rounds of revisions
• Professional Package: Up to 3 rounds of revisions
• E-Commerce Package: Up to 4 rounds of revisions

Additional revisions will be billed at $75 per hour.

3.5 Website Ownership

Upon final payment, Client owns the custom code and design of their website. However, we retain the right to display the website in our portfolio and marketing materials unless otherwise agreed in writing.

3.6 Hosting After Free Period

After the free hosting period, Client can:

• Continue hosting with us at $25/month
• Transfer to their own hosting provider

4. Marketing Services

4.1 Service Descriptions

Local SEO ($299/month):

• Google My Business optimization and management
• 20 local citations per month
• Review management
• Monthly ranking reports
• NAP consistency maintenance

Content Marketing ($499/month):

• 4 SEO-optimized blog posts (1,000+ words each)
• Keyword research and content planning
• Social media snippets
• Newsletter content
• Basic graphics

Social Media Management ($399/month):

• 3 platform management
• 15 posts per month
• Story and reel creation
• Community engagement
• Monthly analytics

PPC Management ($599/month + ad spend):

• Google Ads account management
• Keyword research and selection
• Ad copy creation and testing
• Bid management
• Weekly performance reports

Note: Ad spend is paid directly to Google and is separate from management fee.

Email Marketing ($349/month):

• Email automation setup
• Welcome series creation
• Monthly newsletter
• Cart abandonment sequences
• Performance analytics

Note: Email platform costs (typically $20-100/month) are separate.

Complete Marketing Bundle ($1,599/month): Get all 5 marketing services and save $546/month. View all packages.

4.2 Service Commitment

All marketing services are month-to-month with no long-term contracts. Services automatically renew each month unless cancelled.

4.3 Performance Metrics

We provide monthly reports but do not guarantee specific rankings, traffic numbers, or conversion rates. Results vary based on industry, competition, and market factors.

4.4 Access Requirements

Client agrees to provide necessary access to:

• Website admin/backend
• Google Business Profile
• Social media accounts
• Google Ads account
• Email marketing platform
• Analytics accounts

5. Payment Terms

5.1 Website Building Payments

• Starter Package: 50% deposit ($475) to begin, 50% upon completion
• Professional Package: 50% deposit ($1,250) to begin, 50% upon completion
• E-Commerce Package: 40% deposit to begin, 40% at midpoint, 20% upon completion

5.2 Marketing Services Payments

• Billed monthly in advance
• First month’s payment due upon signup
• Automatic recurring billing on the same date each month
• No setup fees for any marketing service

5.3 Bundle Discount

Complete Marketing Bundle clients receive a $546 monthly discount. If individual services are cancelled, remaining services revert to standard pricing.

5.4 Payment Methods

We accept:

• Credit/Debit cards (Visa, MasterCard, American Express, Discover)
• ACH bank transfers
• PayPal
• Check (website packages only, add 5 business days for processing)

5.5 Late Payments

• Payments more than 7 days late may result in service suspension
• Payments more than 30 days late may result in service termination
• Late fee of $25 or 5% of invoice amount (whichever is greater) after 15 days

5.6 Taxes

Prices do not include applicable taxes. Oregon businesses are exempt from sales tax, but out-of-state clients may be subject to their local taxes.

6. Cancellation & Refunds

6.1 SEO Services Cancellation

Due to the nature of SEO services and the time and resources invested, refunds are generally not provided for SEO work. Any exceptions must be agreed to in writing. SEO services may be cancelled with 30 days written notice.

6.2 Website Building Cancellation

• Before project start: Full refund minus 5% processing fee
• Within first week: 75% refund of deposit
• After first week: No refund of deposit
• After design approval: No refunds available

6.3 Marketing Services Cancellation

• Cancel anytime with 30 days written notice
• Service continues through the end of the current billing period
• No partial month refunds
• Work completed is delivered before service ends

6.4 Free Mockup Service

Free website mockups are provided at no cost with no obligation. If you choose not to proceed, no payment is required.

6.5 Satisfaction Guarantee

If you’re unsatisfied with marketing services within the first 30 days, we offer a full refund for that month’s service (excludes ad spend and third-party costs).

7. Intellectual Property

7.1 Client Content

Client retains ownership of all content, images, and materials provided to us. Client grants us license to use these materials for the purpose of providing services.

7.2 Our Work Product

Upon final payment:

• Website code and custom designs transfer to Client
• Marketing content created for Client transfers to Client
• We retain the right to showcase work in our portfolio

7.3 Third-Party Elements

Some elements may include third-party licensed materials (stock photos, fonts, plugins). These remain subject to their original licenses.

7.4 Proprietary Methods

Our processes, methodologies, and strategies remain our intellectual property and trade secrets.

8. Warranties & Disclaimers

8.1 Our Warranties

We warrant that:

• Services will be performed in a professional manner
• Websites will function as described at time of delivery
• We have the right to provide the services offered

8.2 Disclaimers

We DO NOT guarantee:

• Specific search engine rankings
• Specific traffic levels or conversion rates
• Specific business results or revenue
• Protection from search engine algorithm changes
• Protection from cyber attacks or hacking

8.3 Third-Party Services

We are not responsible for third-party service failures including but not limited to:

• Hosting provider downtime
• Domain registrar issues
• Google Ads platform changes
• Social media platform changes
• Email platform deliverability

9. Limitation of Liability

9.1 Maximum Liability

Our maximum liability for any claim arising from these services shall not exceed the amount paid by Client for the specific service in the preceding 3 months.

9.2 No Consequential Damages

We are not liable for:

• Lost profits or revenue
• Loss of data
• Business interruption
• Indirect or consequential damages

9.3 Indemnification

Client agrees to indemnify and hold harmless Portland Peak SEO from any claims arising from:

• Client’s content or materials
• Violation of any laws or regulations
• Infringement of third-party rights
• Client’s use of the website or marketing services

10. Confidentiality

10.1 Confidential Information

Both parties agree to maintain confidentiality of:

• Business strategies and plans
• Customer lists and data
• Financial information
• Proprietary methods and processes
• Login credentials and access information

10.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is publicly available
• Was known prior to disclosure
• Is required to be disclosed by law

10.3 Data Security

We implement reasonable security measures to protect Client data but cannot guarantee absolute security.

11. Termination

11.1 Termination by Client

• Website projects: According to cancellation terms in Section 6
• Marketing services: 30 days written notice

11.2 Termination by Company

We may terminate services immediately for:

• Non-payment beyond 30 days
• Violation of these Terms
• Illegal or unethical use of services
• Abusive behavior toward our team
• Requesting services for illegal industries

11.3 Effect of Termination

Upon termination:

• All outstanding payments become immediately due
• We will deliver completed work
• Client data will be available for 30 days
• Access to our platforms will be revoked

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes shall be resolved through:

1. Good faith negotiation
2. Mediation in Portland, Oregon
3. Binding arbitration in Portland, Oregon

12.3 Entire Agreement

These Terms constitute the entire agreement between parties and supersede all prior agreements and understandings.

12.4 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective 30 days after posting or notification.

12.5 Severability

If any provision of these Terms is found invalid, the remaining provisions shall continue in full force.

12.6 Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control including but not limited to acts of God, natural disasters, pandemics, or government actions.

12.7 Assignment

Client may not assign these Terms without our written consent. We may assign our rights and obligations to a successor entity.
